PrivatePay.app is a digital financial services platform operated by Private Members Alliance Pty Ltd, a company registered in Victoria, Australia ("we", "our", "us").

2. Eligibility & Membership

To access our platform, you must:
- Be at least 18 years old.
- Complete the application and KYC process.
- Be accepted as a private member of PrivatePay.
Membership is offered on an application-only basis. Founding and standard tiers have different benefits and obligations.

3. Services

Our services include access to fiat banking facilities, international payments, crypto exchange, eWallets, and debit card features. We are not a bank and do not offer regulated financial advice or services. Our platform connects users with licensed third-party providers.

4. Crypto & Fiat Disclaimer

You acknowledge that:
- Cryptocurrency involves risk and may be subject to extreme volatility.
- Fiat banking services are provided via third-party institutions.
- We do not guarantee the performance or availability of crypto markets.
- You are solely responsible for your investment, legal, and tax obligations.

5. Fees & Charges

Fees may apply for transactions, exchanges, and card usage. We reserve the right to update our fee structure. Founding members may receive fee rebates or incentives.

6. User Responsibilities

You agree not to:
- Violate any laws or regulations.
- Use our platform for illegal purposes (e.g., money laundering, terrorism).
- Share access credentials or misuse another user’s account.
- Attempt to reverse engineer or compromise our platform.

7. Termination

We reserve the right to suspend or terminate your access at any time for breach of these Terms, suspected fraud, or regulatory concerns. You may also cancel your membership by written notice.

8. Intellectual Property

All content, trademarks, and technology used in the PrivatePay platform are owned or licensed by us. You may not reproduce or distribute any content without permission.
